Introduction

Property Shares, a small and medium real estate investment trust (SM REIT), has recently taken a significant step by filing its draft prospectus with the Securities and Exchange Board of India (SEBI) on September 27. The company is poised to launch an Initial Public Offering (IPO) valued at ₹353 crore, aimed at raising funds primarily for acquiring assets at Prestige Tech Platina. The remaining proceeds will be allocated to general corporate purposes, highlighting the company’s strategic expansion plans in the real estate sector.

IPO Details

This IPO comprises a fresh issue of Platina units, with no shares being sold by existing shareholders (offer for sale). The process is being spearheaded by ICICI Securities Limited, serving as the sole lead manager. Legal support is provided by Cyril Amarchand Mangaldas, while Kfin Technologies Limited functions as the registrar. Axis Trustee Services Limited has been appointed as the trustee for this offering, and PropShare Investment Managers Private Limited manages the investments.

Hashim Khan, director of Property Share, commented on the significance of the SM REIT framework introduced by regulators, emphasizing the unique investment opportunities this presents for the public. The PropShare Platina scheme is touted as India’s first SM REIT, offering investors a chance to engage in Grade A pre-leased commercial properties with minimum ticket sizes starting from ₹10 lakh. This novel investment vehicle aims to democratize access to premium real estate, making it an attractive choice for a wider range of investors.

Property Overview

At the heart of this offering is the Prestige Tech Platina project, encompassing a substantial 246,935 square feet of office space strategically located on the Outer Ring Road (ORR) in Bangalore. This prime space has been leased to a prominent American technology firm under a 9-year lease agreement, ensuring a reliable and consistent rental income stream for investors. The lease agreement also includes a strategic rent escalation clause, with a 15% increase every three years, enhancing the long-term value proposition for stakeholders.
