Rashmi Saluja Addresses ESOP Misuse Claims Amid Religare Dispute Timing Concerns

Recent Allegations Surrounding Religare Management

In recent months, tensions have escalated significantly between the current management of Religare and the Burman family, marking a challenging period for the company. Serious allegations regarding violations of corporate governance practices have been exchanged between both parties, further intensifying the conflict.

ED Action Against Management

On September 6, the Enforcement Directorate (ED) took a notable step by registering an FIR against Rashmi Saluja, the executive chairperson of Religare, and others, in connection with allegations of fraud and criminal conspiracy. This move has raised eyebrows and questions regarding corporate governance at Religare.

Response from Rashmi Saluja

In an exclusive interview with CNBC-TV18, Rashmi Saluja refuted claims of illicit benefits acquired through Employee Stock Option Plans (ESOPs). She pointedly questioned the timing of these allegations, especially considering the Burman family’s recent open offer to take over Religare. Saluja highlighted the turbulent nature of her tenure and maintained that the allegations lack substantial evidence.

Claims of Conspiracy

The ED FIR suggests that a person named Vaibhav Gawli filed the FIR against the Burman family under Saluja’s direction, claiming Gawli operated at her behest. It has further come to light that Gawli allegedly received Rs 65,000 from Saluja for submitting this accusation, raising concerns about the authenticity of the claims made.

Legal Proceedings and Investigations

In response to the allegations, Rashmi Saluja emphasized that the matter is currently pending in court and is under investigation by the ED. She expressed confidence that the truth will ultimately emerge and reiterated her commitment to cooperating with the investigation. Saluja has already addressed the stock exchanges, clarifying that the issue does not involve her or her employees.

No Evidence of Collusion

Saluja also pointed out that the FIR against the Burman family was filed in November, and the open offer emerged in September. Furthermore, she noted that independent directors had earlier raised concerns regarding potential conflicts, indicating there is no evidence of an orchestrated conspiracy. Saluja is determined to ensure that all important matters are clarified and will fully cooperate to uncover the truth surrounding these allegations.

Conclusion

The ongoing disputes at Religare highlight significant governance issues that warrant attention. As investigations unfold, the involvement of regulatory bodies like the ED reflects the serious nature of the allegations, while the management’s responses indicate a commitment to transparency and accountability. The situation remains fluid, and stakeholders are keen to see how these developments will impact Religare’s future.
